SIGNATURE NANNIES — CLIENT AGENCY SERVICE AGREEMENT + PRIVACY TERMS

NOTICE: Please read this Agreement carefully. It is legally binding. By accessing this website, submitting a family application, requesting a candidate search, booking a consultation, using any of our services, or signing electronically, you agree to be bound by these Terms, our Privacy Terms below, and any related fee disclosures presented to you by Signature Nannies.
This Agreement applies to services offered by Signature Nannies, including nanny placements, baby nurses, newborn care support, babysitters, and household staffing support.

21-CLAUSE PREMIUM AGREEMENT

1. AGENCY IDENTITY
This Agreement is entered into between Signature Nannies ("Agency," "Company," "we," "us," or "our") and the person or family using our website, forms, consultations, or referral services ("Client," "you," or "your").
2. SCOPE OF SERVICES
Signature Nannies operates as a referral and placement agency. We recruit, screen, organize, and refer candidates for private household positions, including but not limited to:
• Baby Nurses
• Newborn Care Specialists
• Full-Time Nannies
• Part-Time Nannies
• Live-In Nannies
• Live-Out Nannies
• Babysitters
• Household staffing support
3. NO EMPLOYMENT RELATIONSHIP
Signature Nannies is not the direct employer of candidates unless expressly stated in a separate written agreement. Any employment relationship is between the Client and the worker hired by the Client.
4. ELIGIBILITY TO USE SERVICES
You represent that you are at least 18 years old and legally authorized to enter into this Agreement. Our website and services are intended for use in the United States.
5. FAMILY REGISTRATION AND SERVICE ACTIVATION
By submitting a family application, consultation request, or service inquiry, you confirm that all information you provide is true, complete, and current. We may rely on that information when evaluating your household needs and presenting candidates.
6. PRICING STRUCTURE
Signature Nannies' standard placement pricing for qualifying services is:
• $1,500 — 90-day replacement period
• $2,500 — 120-day replacement period
• $3,500 — 6-month replacement period
Before starting the search and services, a 50% deposit is required. After confirmation of the candidate, the remaining balance must be paid in full before the professional starts. No in-person trial or meetings will be arranged before the full balance is paid; once paid, the Client will receive the complete files of the chosen professional.
All pricing may be subject to applicable taxes, policy terms, service type, schedule type, and written confirmation by the Agency.
7. PAYMENT TERMS
All agency fees, retainers, deposits, and placement charges are due according to the invoice or payment terms issued by Signature Nannies. Unless otherwise stated in writing:
• fees are due before the candidate's first day of work,
• late balances may delay or cancel service,
• unpaid balances may be referred for collection,
• the Client is responsible for reasonable collection costs and attorneys' fees if permitted by law.
8. NO REFUND POLICY
All agency fees, retainers, registration fees, placement fees, and search-related payments are final and non-refundable once paid, except where a separate written refund exception is signed by the Agency.
9. REPLACEMENT POLICY
If the Client selects a placement package that includes a replacement period, any replacement is subject to all of the following:
• full original fee has been paid,
• Client complied with Agency procedures,
• Client did not independently alter compensation or duties in a material way without notice,
• Client did not engage in misconduct, non-payment, or contract breach,
• the request falls within the applicable replacement period.
A replacement is a goodwill service benefit only and does not create a refund right.
10. BABY NURSE / NEWBORN CARE CLAUSE
For baby nurse, overnight newborn, or postpartum placements:
• schedules may include 12-hour or 24-hour support,
• duties must be limited to infant/newborn-related care unless otherwise agreed in writing,
• baby nurses are not medical providers unless separately licensed and contracted as such,
• any medical, sleep, postpartum, or emergency concerns must be directed to the appropriate licensed professional,
• actual schedules, handoff times, and duration of care must be confirmed in writing.
11. TRIAL, INTERVIEW, AND CANDIDATE INTRODUCTION PROTECTION
Any candidate introduced by Signature Nannies is protected by the Agency. The Client may not bypass the Agency to hire, retain, rehire, pay, or otherwise engage that person outside of Agency terms.
12. NON-CIRCUMVENTION
The Client agrees not to directly or indirectly hire, refer, place, or help another person hire:
• any candidate introduced by Signature Nannies,
• any former Signature Nannies candidate introduced during the search,
• any relative, friend, referral, or associate connected to a candidate introduced by the Agency,
without the Agency's written consent and payment of applicable fees. This protection applies whether the hiring occurs for the Client, the Client's relatives, friends, neighbors, business contacts, or related households.
13. ACCURACY OF JOB TERMS
The Client agrees to disclose honestly and completely all material job details, including:
• number and ages of children,
• pets,
• schedule,
• travel,
• driving requirements,
• housekeeping expectations,
• overnight expectations,
• accommodations for live-in positions,
• compensation terms,
• special medical, behavioral, or household circumstances.
Failure to disclose material facts may void replacement coverage.
14. CANDIDATE INFORMATION IS CONFIDENTIAL
All candidate files, resumes, phone numbers, references, personal details, schedules, and identifying information are confidential. The Client may use candidate information only for evaluating placement through Signature Nannies and may not share it publicly or with third parties without written permission.
15. WEBSITE AND FORM USE RULES
You agree not to:
• submit false information,
• use our forms for spam or solicitation,
• impersonate another person,
• scrape or copy website content,
• interfere with the operation of the website,
• upload malicious code,
• use Agency materials to compete with or replicate our services.
16. INTELLECTUAL PROPERTY
All text, branding, layouts, service descriptions, logos, forms, graphics, and website materials are the property of Signature Nannies or used by permission. They may not be copied, republished, or reused without prior written consent.
17. COMMUNICATIONS CONSENT
By submitting your information, you consent to receive communications from Signature Nannies by phone, email, or SMS relating to your inquiry, application, service updates, scheduling, invoices, candidate introductions, and limited service announcements. Message frequency may vary. Message and data rates may apply. Reply STOP to opt out of SMS. Reply HELP for help.
We do not share mobile opt-in data with third parties for their own marketing purposes.
18. DISCLAIMER OF WARRANTIES
All services and website content are provided on an "as is" and "as available" basis. Signature Nannies does not guarantee:
• continuous website availability,
• that a candidate will accept an offer,
• that any candidate will remain employed for any specific period,
• specific childcare outcomes,
• compatibility between Client and candidate,
• uninterrupted service.
19. LIMITATION OF LIABILITY
To the fullest extent allowed by law, Signature Nannies shall not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, loss of business, emotional distress, hiring decisions, employment disputes, household incidents, or candidate conduct after referral.
20. GOVERNING LAW / DISPUTE TERMS
This Agreement is governed by the laws of the State of Florida. Any dispute arising out of or related to this Agreement shall be handled on an individual basis only. No class action or collective action may be brought.
21. ENTIRE AGREEMENT / ELECTRONIC SIGNATURE
This Agreement, together with any invoice, package description, privacy terms, or related signed service form, constitutes the full agreement between the parties. Electronic acceptance, typed name, checkbox approval, timestamp, or digital signature shall have the same force as an original handwritten signature.

We do not share mobile information with third parties for their own marketing purposes. Mobile opt-in data, SMS consent, and phone numbers provided for messaging are used only for essential communication connected to your inquiry, service, or account, unless you separately consent otherwise.
4. WHEN WE MAY SHARE INFORMATION
We do not sell or rent your personal information. We may share limited personal information only when reasonably necessary with: payment processors; cloud storage providers; form and website hosting providers; customer support systems; analytics providers; legal, tax, or compliance professionals; law enforcement or regulators when legally required.

5. CANDIDATE AND FAMILY PRIVACY
Because Signature Nannies handles household and candidate placement information, both family and candidate privacy are treated as confidential. Personal data submitted through forms is used only for staffing, communication, screening, matching, business administration, and legal compliance. We do not intentionally publish private family or candidate information.
6. COOKIES AND TRACKING
Our website may use cookies, pixels, or similar tracking technologies to improve site performance, understand user activity, remember preferences, and support marketing or analytics functions. You may adjust browser settings to limit cookies, but some website features may not function properly.
7. DATA SECURITY
